These terms govern your use of the GJAON Technologies website and any relationship between us and clients we work with. Please read them carefully.

Agreement to terms

By accessing or using this website (the “Site”), you agree to be bound by these Terms of Service (the “Terms”). If you don't agree, please don't use the Site.

For clients we engage with through formal proposals, statements of work, or master services agreements, those signed documents will take precedence over these Terms wherever they conflict.

Who we are

The Site is operated by GJAON Technologies Ltd., a company headquartered at Akure, Nigeria, Ondo, Nigeria.

Throughout these Terms, “we”, “us”, and “our” refer to GJAON Technologies Ltd.. “You” refers to the visitor or client using the Site or our services.

Use of the website

You may use the Site to:

  • Read about our services, products, and team
  • Submit an inquiry through our contact form
  • Read blog posts and other content we publish

You agree not to:

  • Submit false or misleading information
  • Use the Site for any unlawful purpose
  • Attempt to scrape, reverse-engineer, or extract data beyond normal browsing
  • Submit malicious code, spam, or content that infringes anyone else's rights
  • Interfere with the operation of the Site or attempt to gain unauthorized access

We may suspend or block access — including IP-level blocks — for anyone who violates these terms.

Our services

We provide professional services including web and mobile development, UI/UX design, digital marketing, video editing, graphic design, and data analysis. The Site describes these services for marketing purposes — visiting it does not create a contractual relationship between us.

We become contractually obligated to deliver services only when both parties sign a project proposal, statement of work, or other written agreement.

Project engagements

For clients we engage with, the following applies in addition to any signed project agreement:

Scope

Work is performed against the scope defined in your signed proposal or statement of work. Changes to scope require written approval and may affect timeline and price.

Fees and payment

Fees, deposits, milestone payments, and payment terms are defined per-engagement. Invoices not paid within the stated terms accrue late fees as specified in your agreement.

Cancellation

Either party may terminate an engagement with notice as defined in the signed agreement. Pre-paid work that has not yet been delivered will be refunded; work already performed is non-refundable.

Intellectual property

Our content

All content on the Site — including text, graphics, logos, designs, and the Site's source code — is owned by GJAON Technologies Ltd. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, redistribute, or create derivative works from our content without written permission.

The names GJAON, SellSquare, and Chatalog (and associated logos) are trademarks of GJAON Technologies Ltd..

Client work product

For paid client engagements, ownership of deliverables transfers to the client upon full payment, except for:

  • Our pre-existing tools, libraries, frameworks, and methodologies
  • Open-source components licensed separately
  • Anonymized portfolio rights — we may reference the engagement and final work product in our portfolio and marketing materials, unless your contract specifies otherwise

Third-party links and tools

The Site may link to third-party websites or use third-party services (analytics, email, payment, etc.). We are not responsible for the content, privacy practices, or availability of any third-party site or service. Following an external link is at your own risk.

Disclaimers

The Site and any content on it are provided “as is” and “as available”, without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Blog posts, case studies, and other content reflect our opinions and experience as of the date of publication. They are not professional advice for your specific situation. Always consult appropriate professionals before making business, technical, or legal decisions.

Limitation of liability

To the maximum extent permitted by law, GJAON Technologies Ltd. is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Site, including loss of profits, data, or goodwill — even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from the Site (excluding signed project agreements, which define their own liability terms) is limited to the greater of (a) the amount you paid us in the prior 12 months, or (b) ₦100,000.EDIT: confirm with legal counsel — currency and amount should match your insurance and risk profile.

Indemnification

You agree to indemnify and hold GJAON Technologies Ltd., its team, and its affiliates harmless from any claims, damages, or expenses arising from (i) your use of the Site, (ii) your violation of these Terms, or (iii) your violation of any third-party right.

Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved through good-faith discussion will be submitted to the exclusive jurisdiction of the courts located in Ondo State, Nigeria.EDIT: confirm jurisdiction with legal counsel — change if you sell to EU/US and want a different forum.

Changes to these terms

We may revise these Terms from time to time. The “Last updated” date at the top reflects the most recent change. Continued use of the Site after a revision means you accept the updated terms. Material changes will be announced on the homepage.
